When to use this template

Use this as an administrative starting outline for the person preparing board minutes. It does not determine the rules for your organisation. Confirm the applicable meeting, quorum, voting, approval and retention requirements with the people responsible for governance before relying on the final record.

Make it useful for your meeting

  1. 1. Prepare the meeting record

Add the organisation, date, meeting type, chair and minute-taker. Record attendance and apologies accurately. Use your organisation's applicable requirement to record the quorum outcome; the template does not calculate it.

  2. 2. Record interests and matters considered

Capture declared interests and how the meeting handled them. Reference the papers considered and summarise material discussion. Record departures or returns for an item where relevant to the record.

  3. 3. Confirm the resolution wording

Record what was actually agreed and the voting outcome required by your process. Keep a proposed resolution separate from an adopted one. Confirm unclear wording with the chair or responsible reviewer.

  4. 4. Keep draft and approval status clear

Assign follow-up actions and prepare the draft for the review process your organisation uses. Record corrections and approval accurately. Store the reviewed file in the authorised records location.

Common questions

Does this template meet our board's legal requirements?

The template cannot establish that. It supplies editable prompts, while requirements depend on your organisation and applicable rules. Have the responsible governance reviewer check the final record and the process used to approve it.

Can I use the Word file for review?

Yes. Download the .docx and use your usual document review process. The editor does not obtain signatures, certify resolutions or approve the record.

Should draft minutes show an unconfirmed vote?

Keep the vote or outcome marked as unconfirmed until it has been checked. Do not turn a proposal into an approved decision. Resolve missing details through the organisation's review process.
